1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the website located at www.helloconductor.com (the “Site”) and any services offered by Conductor Productions LLC (“Conductor,” “we,” “us,” or “our”), a limited liability company incorporated in the Commonwealth of Massachusetts, United States.

By accessing the Site, submitting an inquiry, engaging our services, or consenting to receive communications from us, you (“you,” “Client,” or “User”) agree to be bound by these Terms. If you do not agree, please do not use the Site or engage our services.

2. Description of Services

Conductor Productions LLC provides brand and performance creative production services for broadcast and digital media, including but not limited to:

• Brand strategy and creative consulting

• Creative development and campaign production

• Video production and content production

• Post-production, editing, color grading, and finishing

• Animation and motion graphics

• Visual effects (VFX)

Services are provided pursuant to separate project agreements, statements of work, or client contracts entered into between Conductor and each client. These Terms apply in addition to any such agreements and are incorporated by reference unless expressly superseded.

3. Eligibility

By using the Site or engaging Conductor’s services, you represent that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into these Terms on behalf of yourself or any organization you represent; and © your use of our services is lawful in your jurisdiction.

4. SMS and Electronic Communications

4.1 Consent to Receive Communications By providing your phone number through our contact form or any other means, and affirmatively opting in, you expressly consent to receive text messages (SMS/MMS) from Conductor Productions LLC, including messages related to:

• Project updates and communications

• Service inquiries and follow-ups

• Marketing and promotional content

4.2 Message Frequency and Costs Message frequency varies depending on your engagement with us. Standard message and data rates may apply based on your wireless carrier plan.

4.3 How to Opt Out You may opt out of SMS communications at any time by replying STOP to any message you receive from us. After opting out, you will receive a single confirmation message and no further SMS messages will be sent, unless you re-subscribe.

4.5 Carriers Not Liable Wireless carriers are not liable for delayed or undelivered messages. Conductor Productions LLC is not responsible for any charges incurred through your carrier in connection with SMS communications.

4.6 Email Communications You may opt out of marketing emails at any time by clicking the “unsubscribe” link included in any marketing email, or by contacting us directly. Transactional and service-related emails may still be sent as necessary to fulfill services.

5. Intellectual Property

5.1 Conductor’s Intellectual Property All content on the Site, including but not limited to text, graphics, logos, video, photographs, software, and design elements, is the property of Conductor Productions LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

5.2 Client-Owned Content Upon full payment of all fees pursuant to an applicable project agreement, and subject to any third-party license restrictions, Conductor will assign or license to Client the agreed-upon deliverables as specified in the applicable statement of work or project agreement.

5.3 Portfolio Rights Unless expressly agreed otherwise in writing, Conductor reserves the right to display work produced for clients in its portfolio and marketing materials for the purpose of self-promotion.

6. User Conduct

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms

• Submit false, misleading, or fraudulent information

• Attempt to gain unauthorized access to our systems

• Transmit viruses, malware, or other harmful code

• Harass, abuse, or harm any person in connection with your use of our services

7. Project Agreements and Payment

Specific terms related to pricing, deliverables, timelines, revisions, payment schedules, kill fees, and intellectual property ownership are governed by individual project agreements or statements of work executed between Conductor and each client. In the event of any conflict between these Terms and a project agreement, the project agreement shall control.

8. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CONDUCTOR MAKES NO WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CONDUCTOR PRODUCTIONS LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO CONDUCTOR IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Conductor Productions LLC and its members, managers, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Site or services; (b) your violation of these Terms; or © your violation of any third-party rights.

11. Third-Party Services and Tools

Conductor uses third-party platforms and tools (including GoHighLevel for CRM and marketing automation) to manage communications and client relationships. Your information may be processed through such platforms in accordance with their respective terms and privacy policies. We take reasonable steps to ensure third-party processors comply with applicable data protection requirements.

12. International Users

The Site is operated from the United States. If you are accessing the Site or services from outside the United States, you are responsible for compliance with local laws. We make no representation that the Site or services are appropriate or available in all locations.

For users in the European Economic Area (EEA) or United Kingdom, additional protections under the General Data Protection Regulation (GDPR) or UK GDPR may apply. Please refer to our Privacy Policy for details.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Site or services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings to be held in Massachusetts. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

Class Action Waiver: To the fullest extent permitted by law, you waive any right to bring claims as a class, consolidated, or representative action.

14. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Updated Terms will be posted on the Site with a revised “Last Updated” date. Your continued use of the Site or services following any modification constitutes your acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any applicable project agreements, constitute the entire agreement between you and Conductor Productions LLC with respect to the subject matter hereof and supersede all prior communications, representations, or agreements.
